1. Overview

These Terms & Conditions (“Terms”) govern your access to and use of the VYTAL website, content, programs, memberships, classes, products, tools, and any other services we offer (collectively, the “Services”).
“VYTAL,” “we,” “us,” and “our” refer to the owners/operators of this website and brand.
“You” refers to any site visitor, customer, member, purchaser, or participant.

By using the Site or purchasing anything from us (including but not limited to VYTAL Reset, VYTAL+ Membership, breathwork/classes, protocols, bundles, journals, or gear), you agree to these Terms. If you do not agree, do not use the Site or the Services.

We may update these Terms from time to time. Continued use of the Site after changes are posted means you accept the updated Terms.

2. Eligibility

You must be at least 18 years old (or the age of legal majority in your location) to purchase, join, or participate in any paid offering.

By using the Services, you represent and warrant that:

• You are legally able to enter into a binding agreement;
• You will use the Services only for lawful purposes;
• You will follow these Terms.

3. Not Medical Advice / Not Therapy / Not Emergency Care

VYTAL provides education, tools, structure, community, nervous system techniques, metabolic reset strategies, lifestyle guidance, and product recommendations.
We do not provide:

• medical advice,
• diagnosis,
• treatment,
• prescriptions,
• mental health counseling, or
• emergency/urgent care.

Nothing on this Site or in any program (including VYTAL Reset and VYTAL+) is intended to replace professional medical advice or professional mental health care. Always consult your licensed physician or qualified health provider before starting any new protocol, supplement, breathwork, lab testing, diet shift, or physical practice.

If you are experiencing a medical emergency or mental health crisis, call local emergency services immediately.

You are solely responsible for your own health decisions, use of information, and listening to your body. You assume all risk from participating in any protocol, challenge, class, breathwork, or recommendation shared by VYTAL.

4. Programs, Memberships & Subscriptions

4.1 VYTAL Reset

The VYTAL Reset is a time-bound program (for example: 30 days of structured guidance and tools). Access may include live or recorded sessions, educational modules, community features, PDFs, and/or other digital resources. Access to recordings and materials may expire after the program window unless we explicitly state otherwise.

All program start dates, inclusions, bonuses, coaches, and curriculum are subject to change or substitution at our discretion.

4.2 VYTAL+ Membership

VYTAL+ is an ongoing membership with recurring billing. By enrolling, you authorize us (or our payment processor) to automatically charge your chosen payment method at the stated interval (for example: monthly or annually) until you cancel under the rules in the “Cancellation & Refund Policy.”

Membership content may include (by example, not limitation): breathwork sessions, protocols, nervous system regulation tools, metabolism support, lab education, Q&A, directory access, and/or community support.

We may update, add, pause, or remove features, instructors, classes, or benefits at any time. Pricing is subject to change for new billing cycles. We will use reasonable efforts to notify active members before price changes take effect.

4.3 Live / Group Experiences

Some elements of our Services may include live calls, livestream classes, or group coaching environments. These may be recorded. By attending, you consent to being recorded (audio and/or video) and you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, display, and distribute those recordings (in whole or in part) for business, educational, marketing, and archival purposes. Do not share anything you are not comfortable having recorded.

5. Digital Content License

When you purchase a program or membership, you receive a personal, non-transferable, non-exclusive, revocable license to access the digital content for your own individual use only.

You may not:

• Share your login;
• Repost paywalled content elsewhere;
• Sell, resell, reproduce, publish, distribute, or create derivative works from our materials;
• Use our content to create a competing program, membership, product, or service.

We reserve the right to suspend or terminate your access (with or without notice) if we believe you violated these Terms, including unauthorized sharing or redistribution.

6. Physical Products, Bundles & “VYTAL Fuel”

From time to time we may offer physical items such as journals, kits, wearable tools, apparel, or other gear (“Products”). Some Products may be fulfilled by third parties (for example: print-on-demand or affiliates). Availability, colors, sizing, specs, pricing, and shipping timelines may change or sell out without notice.

Affiliate items may link out to third-party sellers. In those cases:

• You are buying from that third party, not from us.
• That third party’s terms, policies, shipping, returns, and warranties apply.
• We are not responsible for their delivery speed, quality, safety, labeling, or compliance.

7. Pricing and Payment

All prices are shown in U.S. dollars unless stated otherwise. Taxes, duties, and fees (if any) are your responsibility.

You agree to provide current, complete, and accurate billing information and to promptly update payment details so we can process charges for subscriptions and purchases.

If a payment fails, we may attempt to re-run the payment method, request an alternate method, pause access to content, and/or cancel your enrollment.

We reserve the right to correct any price errors, even after payment has been requested or received.

8. No Guarantees / Earnings / “Results” Disclaimer

We believe in structure, fuel, and nervous system support — not trends. Still, we cannot and do not guarantee:

• Weight loss, symptom resolution, pain reduction, lab changes, hormonal shifts, nervous system “regulation,” financial outcomes, or any specific health result;
• That you will feel better in a particular timeframe.

Any testimonials or client stories shared on the Site are individual experiences. Your results will vary.

You understand and agree that your outcomes depend on many personal factors (history, compliance, lifestyle, genetics, stress, environment, medical status, etc.), most of which are outside our control. You accept full responsibility for your own results.

9. Community Standards

If you participate in any group spaces (live chat, forum, comments, private community, etc.), you agree to:

• Be respectful and lawful;
• Not harass, threaten, or abuse others;
• Not share hate speech, discrimination, or explicit/graphic content;
• Not give medical advice to other members as if you are their provider.

We may remove any post or remove any member for any reason, at our sole discretion, without refund.

10. Intellectual Property

All content on this Site and in our programs — including text, trademarks, logos, graphics, images, videos, audio, downloads, worksheets, protocols, designs, layouts, copywriting, and code — is owned by or licensed to VYTAL and is protected by copyright, trademark, and other intellectual property laws.

Nothing in these Terms transfers ownership of any intellectual property to you. Any unauthorized use may violate law and may lead to legal action.

11. User Submissions / Feedback

If you send us ideas, comments, testimonials, success stories, transformations, reviews, suggestions, questions, or other content (“Feedback”), you agree that:

• You have the right to share it;
• It does not infringe anyone else’s rights;
• We may use it (and any name, likeness, and statements you submit with it) worldwide, in any media, forever, without compensation, notice, or further permission, for marketing, promotional, educational, or operational purposes.

12. Third-Party Links

Our Site may contain links to third-party websites, labs, experts, directories, practitioners, affiliate products, or other resources. We do not control those third parties, we do not endorse them, and we are not responsible for their content, availability, privacy practices, safety, accuracy, or services. You access third-party resources at your own risk.

13. Limitation of Liability

To the fullest extent permitted by law:

1. VYTAL, its owners, founders, team members, coaches, contributors, contractors, speakers, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost data, personal injury, emotional distress, or failure to achieve a health outcome, arising from or related to your use of (or inability to use) the Services.
2. Our total cumulative liability for any claim relating to the Services, whether in contract, tort, strict liability, or otherwise, will not exceed the amount you paid to us for the specific program / membership / product at issue in the 90 days prior to the event giving rise to the claim.

Some jurisdictions do not allow certain limitations or exclusions of liability. In those places, our liability will be limited to the maximum extent allowed by law.

You agree to release us from any and all claims arising from:

• Your participation in breathwork, somatic exercises, nervous system practices, fasting or nutritional changes, cold exposure or heat exposure, lifestyle protocols, or other self-regulation techniques;
• Your interpretation or use of lab-related guidance;
• Your interactions with any practitioner or expert we reference or list.

14. Indemnification

You agree to indemnify, defend, and hold harmless VYTAL and its officers, directors, employees, contractors, agents, licensors, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

• Your use of the Site or Services;
• Your violation of these Terms;
• Your violation of any applicable law or third-party rights.

15. Termination

We may suspend or terminate your access at any time, with or without cause or notice, including if we believe you violated these Terms, shared member-only content, failed to pay, or acted abusively toward our team or community.

You may stop using the Services at any time. Cancellation of subscriptions and eligibility for refunds are governed by the “Cancellation & Refund Policy.”

Sections of these Terms that by nature should survive termination (for example: Intellectual Property, Limitation of Liability, Indemnification, Governing Law) will survive.

16. Governing Law / Dispute Resolution

These Terms and any dispute arising out of or related to them will be governed by and construed in accordance with the laws of the State of New York, USA, without regard to conflict-of-law rules.

You agree to first try to resolve any dispute informally by contacting us through the Contact page. If we cannot resolve it informally, both you and VYTAL agree to submit to the exclusive jurisdiction and venue of the state or federal courts located in New York County, New York, USA.

You waive any objection to such jurisdiction and venue, including on the basis of inconvenient forum.

To the extent allowed by law, you agree to bring claims only in your individual capacity, not as a plaintiff or class member in any class, collective, private attorney general, or representative proceeding.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, that part will be enforced to the maximum extent allowed and the remaining provisions will remain in full force and effect.
